Financial & Insurance

You’ve built a valuable financial services business. Now you need an M&A team that understands what buyers will care about most.

Financial Services is a broad category. Our experience is much more specific.

HDL has transaction experience across Insurance, Fintech and selected Financial Services businesses.

Our work has included Sell-Side and Buy-Side M&A as well as financing mandates. While HDL no longer actively markets capital raising as a standalone service, those prior financing transactions have contributed to our expertise and contact base in the sector.

Experience in the areas we know

Rather than claim expertise across the entire Financial Services, we are focusing this page on the areas where HDL has completed meaningful work.

Buyers want to understand the book they’re actually buying.

When it comes to insurance brokerage acquisitions, buyers pay close attention to the mix between personal and commercial lines, with a stronger commercial business focus generally viewed more favourably.

They also look carefully at loss ratios, growth rates, the strength of the sales team and their expected tenure after the transaction closes.

A strong insurance brokerage is not simply a book of commission revenue. Buyers want confidence that the client relationships, sales capability and underlying economics will continue and grow after ownership changes.

Experience across transactions, growth and liquidity events

HDL’s experience also includes Fintech and other Financial Services companies through Sell-Side, Buy-Side and previous financing mandates.

Givex Corporation is one of the strongest examples. HDL initially worked with the company as a Buy-Side M&A Advisor to support its growth through acquisition, and was later engaged to arrange a liquidity transaction, public listing and a concurrent $22 million financing.

Buyers want confidence in the business behind the platform.

In Fintech and Financial Services, buyers look beyond growth and financial performance. They also want confidence in the company’s management, controls, compliance framework and technology infrastructure.

Strong management systems, financial reporting and audit procedures

A well-defined regulatory compliance framework with minimal history of infractions or enforcement

A seasoned management team with strong operational and market experience

Redundant technology infrastructure with well-defined and tested security protocols

WHY HDL

Knowing a sector means knowing in advance what buyers will dig into.

We ask those questions first, so your business is ready when they do. HDL’s experience across Insurance, Fintech and Financial Services gives us a stronger starting point when preparing a company for market or evaluating a transaction.

The objective is not to bury the story in industry language. It is to understand what buyers will focus on, prepare for those questions early and make the strengths of the business stand out.

Relevant experience in Financial & Insurance

“Far more goes into preparing a business for market than we ever imagined,” said Wesley Harmiden, President & Owner of United Link. “HDL managed the entire process end to end, letting us stay focused on running the brokerage. While we engaged HDL with a couple of interested buyers already at the table, they ran a full sale process, generating a wide range of competing offers. HDL managed lawyers, buyers, and us efficiently, explained every step clearly. Every concern in the legal agreements was addressed. We closed knowing nothing was left on the table, and that we found the best buyer to partner with.”

“HDL Capital has been a valued Buy-Side M&A advisor to Givex for many years. They have helped us source, structure and close multiple acquisitions that have contributed meaningfully to our revenue growth and service offering. HDL also arranged our public listing on the TSX, bringing together a high quality group of financial and legal advisors and spearheading a successful $22M equity raise.”

TECHNOLOGY & IT SERVICES

You’ve built more than great technology. You’ve built a business someone should want to own.

Not every technology business is valued the same way.

HDL’s technology experience is concentrated in IT Services, SaaS and Enterprise Software, along with selected communications technology businesses.

The metrics buyers care about can vary significantly across those categories.

For an IT Services company, the questions often centre on contracted revenue, delivery capacity, customer relationships and how dependent growth is on the owner.

For SaaS, recurring revenue levels, churn, customer acquisition cost and the size and quality of the customer base tend to move quickly to the top of the list. In the last few years, buyers are looking closely at the impact that AI has on these businesses, and what their go forward strategies are to react.

Experience in the areas we know

HDL does not claim to work across every type of technology company. Our transaction experience is concentrated in a handful of areas where we have worked directly with owners, management teams and buyers.

Predictable revenue is only part of the story.

IT Services businesses often combine recurring fixed-fee revenue with variable revenue from upgrades, projects and one-off work.

Buyers want to understand that mix because it gives them a clearer view of how much revenue is genuinely predictable.

They also look closely at delivery costs, utilization and capacity. In a people-driven business, profitability can change quickly if the team is underutilized or the company needs to add more specialized resources to support growth.

The other major question is how new business gets won. A dedicated sales or business development function is generally more attractive than a company where every new client relationship depends on the owner’s personal network.

Relevant experience in Technology & IT Services

ARR gets attention. Retention tells the bigger story.

SaaS buyers focus heavily on recurring revenue, but Annual Recurring Revenue (ARR) or Monthly Recurring Revenue (MRR) on their own do not tell them enough.

They want to understand the quality of that revenue: customer retention, customer churn, how efficiently the company acquires new customers and whether the business can continue growing without burning excessive capital.

A company may be at its highest-ever ARR and still face valuation pressure if churn is high or the underlying customer base is unstable.

Customer Acquisition Cost (CAC) also matters. Efficient acquisition (low CAC) can point to strong product-market fit and a clear value proposition, while a high CAC may raise questions about scalability and future cash requirements.

Growth matters. The quality of growth matters more.

The technology businesses that attract the strongest buyer interest tend to combine growth with predictability, efficient economics and a team that can keep performing after the founder steps back. Buyers want to see evidence that the growth is durable, not just fast. They are looking for:

Recurring and contracted revenue

Low customer churn and strong retention

Efficient customer acquisition (low CAC)

Healthy margins and a credible path to profitability (if still burning capital)

Low customer concentration

A strong technical and management team

A sales engine that does not depend entirely on the founder

Buyers notice quickly when the owner and the business are the same thing.

Founder dependence can become a significant issue in both IT Services and SaaS.

In IT Services, owners often hold the most important client relationships and remain heavily involved in new business. If it’s not certain that those relationships won’t leave when the owner does, buyers may reduce the valuation or require a longer transition period to reduce their perceived risk.

In SaaS, owners can become overly focused on headline ARR while overlooking churn, retention or the quality of the customer base.

Revenue that looks strong on paper is less valuable if customers are leaving quickly or if replacing them requires increasingly expensive acquisition spending.

WHY HDL

Know which metrics buyers will care about before the questions start.

Selling a technology business requires more than presenting revenue growth and EBITDA.

HDL works through the underlying revenue quality, customer base, retention, sales engine, margins, team and owner dependence before the company goes to market.

That preparation helps us build a clearer story around where the value really sits and anticipate and prepare for the questions buyers are likely to raise during diligence.

“We were very happy to work with HDL Capital to sell our company, particularly after being approached directly by buyers and wasting so much time and effort on unsuccessful outcomes. HDL Capital worked diligently to prepare us for market, providing a clear and compelling picture of the business, which led to numerous offers internationally. They kept the closing process moving to a successful outcome.”

Mark Matthews CEO, Intrahealth Systems Limited

They have helped us source, structure and close multiple acquisitions that have contributed meaningfully to our revenue growth and service offering. WE CAN HELP

Thinking about selling a Technology, Software, Saas or IT Services business?

Tell us what you’ve built, where the growth comes from and what you want the next chapter to look like. We can give you an early view of how buyers are likely to assess the business, which metrics will matter most and what could drive or constrain value in the current market.

Manufacturing and Distribution

You’ve spent years building the operation. Now you need an M&A team that understands what buyers will scrutinize before they buy it.

The value is in more than what comes off the line or out of the warehouse.

HDL has advised Canadian Manufacturers and Distributors across a range of categories including: the industrial products, heavy equipment, pumps and valves, communications equipment, chemicals, food and beverage, and many more.

For buyers, understanding the earnings is only the beginning. They want visibility into the sales pipeline, order backlog, customer relationships, suppliers, inventory flow, equipment requirements, systems and the capital needed to keep the business growing.

For Distributors, the product or service license rights are typically one of the most valuable assets in the business.

Experience across manufacturing and distribution

HDL’s experience includes businesses that manufacture their own products, distribute third-party products and, in some cases, do both.

Buyers want to know what the next year (or more) looks like, not just the last one.

For Manufacturers, buyers pay close attention to order backlog and the sales pipeline to understand whether revenue is likely to continue after closing.

They also look at equipment, capacity and future capital requirements. If significant investment will be needed shortly after closing, that cost will factor into the buyer’s valuation and purchase structure.

For Distributors, attention quickly turns to supplier and distribution agreements. Exclusive rights are extremely valuable, but buyers need to understand how secure those rights are, when agreements expire and whether they can be transferred following a change of control.

Buyers will price tomorrow’s problems into today’s offer.

Poor visibility into future orders, weak or non-existent customer contracts and high customer concentration can all create uncertainty around future earnings.

Specialty labour can also become a significant issue. Many manufacturers rely on skilled trades that are becoming increasingly difficult to replace.

Buyers will also examine whether the company’s systems and reporting can support the next stage of growth. A business still relying heavily on spreadsheets may require substantial investment in new software, data migration and training after closing, and buyers will factor that cost into what they are prepared to pay (and when they pay it).

Real estate can create similar pressure. If a lease is approaching renewal at substantially higher market rates, or future growth requires a larger facility, those costs can affect valuation (and structure).

WHY HDL

Know where buyers are going to dig before they start digging.

HDL spends significant time preparing a business before buyer outreach begins.

For a Manufacturing or Distribution business, that means understanding the order backlog, customer concentration, contracts, supplier relationships, distribution rights, equipment, working capital, systems, real estate and owner involvement long before they become diligence issues.

The goal is to go to market prepared, with a clear story around both the strengths of the business and the questions buyers are inevitably going to ask.

Geography matters more than it used to.

Manufacturing buyers are increasingly looking at where products are made, where materials come from and where customers are located.

Tariffs can affect input costs, access to U.S. and international customers and the economics of where production takes place.

That can create risk, but it can also create opportunity. HDL is seeing U.S. buyers interested in Canadian operations and Canadian businesses considering U.S. capacity as companies look for more flexibility and diversification in how and where goods are produced. This allows companies to better insulate against unexpected challenges like tariff wars or Covid type shutdown.

Relevant experience in Manufacturing & Distribution

Good distribution rights can be difficult to recreate.

A strong Distributor may have exclusive rights to a brand or territory, established customer relationships, warehousing infrastructure and a sales team that would take years for a competitor to build from scratch.

Distribution businesses typically require less capital investment than manufacturing operations and often benefit from customers placing higher quantities of repeat orders over long periods of time.

For a strategic buyer looking to enter a new geography, buying those relationships and rights gives them a head start in that new market versus building those competencies from the ground up.

“We appreciate HDL Capital's efforts in successfully selling a division of our company as a carveout. Their ability to identify a buyer that perfectly matched our needs and objectives was excellent. Throughout the process, HDL Capital provided sound advice, guiding us through each step with professionalism and expertise. Their support was very valuable, and we recommend their services to anyone seeking reliable and effective advisory assistance.”

Brandon Miller President/CEO, AWC Process Solutions Ltd

“Gincor is very pleased to complete our second acquisition with HDL as our Buy-Side M&A Advisor. In addition to building and managing a strong funnel of targets over the past couple of years, HDL has served as a valuable extension to our Finance team, working to strengthen banking relationships and position Gin-Cor for a series of larger transactions in the coming years.”

Luc Stang, President & CEO, Gincor Werx

The right buyer may not be Canadian.

International strategic buyers can be particularly important in manufacturing and distribution.

A Manufacturer buyer may want Canadian production capacity or a complementary product line. A Distributor buyer operating in another geography may need to acquire local rights, customer relationships, a sales team or warehousing infrastructure to enter the Canadian market.

That is why HDL always looks globally, beyond the obvious domestic buyer list when building the target buyers list for a company.

WE CAN HELP

Thinking about selling a manufacturing or distribution business?

Tell us what you’ve built and what you want the next chapter to look like. A short conversation is enough for us to give you a preliminary view of how buyers are likely to value and structure a deal for your business, where there’s room to increase that value, what a sale process would involve, and what it would cost, in today’s market. Whether you’re ready now or years away, we’re happy to invest the time, get to know you and help you prepare to maximize value when the time is right.

Consumer, Entertainment, Media & Marketing

You’ve built something customers choose for a reason. Now you need an M&A team that can help buyers understand why.

Buyers aren’t just buying the numbers. They’re buying what makes the business difficult to replace.

HDL has advised companies across the Entertainment, Media, Marketing Services, Consumer Products, Retail, Hospitality and related sectors.

These companies often derive a significant part of their value from intangibles that are harder to capture on a balance sheet: brand strength, intellectual property, customer loyalty, creative talent, founder knowledge and the ability to keep creating innovative products or experiences people want.

That makes the story behind the business particularly important when it comes time to sell.

Experience across a broad and creative category

This is one of HDL’s broader sectors, with transaction experience spanning Entertainment and Media through Consumer Brands and Retail.

The harder it is to copy, the more interesting it becomes.

Strong intellectual property, exclusive rights and entrenched customer demand can create a meaningful barrier to competition.

Our client Glatz Concerts, for example, has built proprietary live productions with unique international rights and proprietary theatre relationships. Another client The Woods operates in a regulated retail environment where location rights helped differentiate the business.

Those kinds of advantages or “moats” help buyers get the comfort they need that these businesses can continue to hold their competitive position after a sale transaction.

What happens to the business when the founder leaves?

One of the biggest questions buyers ask in this sector is whether the value of the business is institutionalized or whether too much of it depends on one or two founders.

If the founder drives the creative vision, owns the critical relationships, develops the products or is central to the brand itself, buyers will want to understand what happens when that person steps away.

They will also look closely at how differentiated the offering is, how defensible the intellectual property may be and how exposed the business is to changing consumer preferences.

Consumer taste can change quickly. Buyers know it.

Businesses in this sector (or the end customers that they service) can be more exposed to changes in consumer behaviour, trends and preferences than many traditional operating companies.

That risk becomes greater when the offering is easy to copy, the brand is not clearly differentiated or the business relies heavily on the personality, relationships or creative ability of its founder.

Buyers may also be more cautious when revenue is project-based or dependent on a small number of key people, clients, performers, productions or properties.

The stronger the business can demonstrate that its value will continue after the owner leaves, the easier it becomes for a buyer to get comfortable.

WHY HDL

Make the intangible value tangible.

Buyers need to understand what makes the business special and why that advantage will survive a change in ownership.

HDL spends significant time at the front end of a sale process understanding the business, the brand, the people and the points of differentiation so those strengths are clearly reflected in the positioning and transaction materials.

The goal is not simply to describe what the business does. It is to make it obvious why a buyer should want to own the business.

Strategic buyers often understand the value fastest in these sectors.

HDL often sees strategic buyers play an important role in this sector.

A buyer already operating in the industry may be better positioned to understand the intangibles: the strength of the brand, intellectual property, audience, relationships or market position and to see opportunities that may be harder for a generalist financial buyer to value.

That can make identifying the right buyer universe particularly important.

BUSINESS & INDUSTRIAL SERVICES

Businesses built on repeat customers, strong teams and dependable execution.

Buyers want to know what keeps the business strong after you leave.

HDL has advised Canadian companies across construction and contracting, maintenance, repair and overhaul/operations (MRO), and a range of business services.

services. These businesses may look very different on the surface, but buyers tend to come back to many of the same questions: How predictable is the revenue? How strong are the customer relationships? How deep/redundant is the management team? And how dependant is the day to day operation dependent on the owner?

Experience across the businesses we know best

Our experience in Business & Industrial Services is concentrated in three broad areas. These are areas where HDL has meaningful transaction experience, not boundaries around the businesses we will work with

Experience you can see in the transactions

“We are beyond pleased with the outcome of this sale process led by HDL Capital. MPW Industrial is an ideal partner to take PPS to the next level. HDL Capital persisted through a challenging COVID environment and was able to exceed all of our financial and retirement objectives.”

Chris Hughes President, PPS

“The team at HDL Capital took the time to fully understand our business objectives and quickly prepare us for market. They attracted a range of Canadian and International prospects. Predictability carries a lot of weight

Buyers tend to place a premium on businesses that can show dependable year-over-year growth, repeat customers, strong service quality and good backlog or visibility into the sales pipeline.

Management depth matters too. A tenured team with clear responsibilities and enough redundancy to operate without the owner gives a buyer much more confidence in what happens after closing.

WHY HDL

Do the work before buyers are waiting at the door.

Preparation is particularly important in Business & Industrial Services because buyers are going to dig into the predictability of revenue, longevity of customer relationships, stability of margins, management depth and redundancy, backlog/pipeline visibility and owner dependence.

HDL works through those questions at the front end, building comprehensive financial analysis and compelling transaction materials before going to market. That means a clearer story, fewer surprises later on, and a company that is highly prepared to stand up to buyer diligence.

The issues buyers find eventually are better dealt with early.

Customer concentration is one of the first things buyers will examine, particularly when a single customer represents more than 20% of revenue from year to year.

Volatile revenue or EBITDA, low margins, customer complaints or churn, limited visibility into the future backlog/pipeline and an owner who remains involved in every part of the business can also create concern and put pressure on valuation (and deal structure).

None of these issues automatically prevents a transaction. They do need to be understood, explained and, wherever possible, messaged or addressed before buyers begin asking the questions.

WE CAN HELP

Thinking about selling a Business or Industrial Services company?

Tell us a little about the business and what you are trying to accomplish. Whether you’re ready now or years away, we’re happy to invest the time, get to know you and help you prepare to maximize value when the time is right.

You’ve spent years learning your industry.

We understand what drives value in your business. Our job is to make sure buyers do too.

HDL brings meaningful experience across five broad sectors, along with more than 25 years of transaction experience across businesses of many shapes and sizes. We use that experience as a head start, not a substitute for doing the work.

The businesses we know best

These five categories represent areas where HDL has meaningful transaction experience and relevant proof. They are not a closed list of the types of businesses we advise (we have completed transactions in almost every sector).

Business & Industrial Services

Construction, Contracting, MRO and Industrial Services, where repeat customers, dependable growth, quality control and management depth/redundancy can have a significant impact on value.

Consumer / Entertainment / Media / Marketing Services

Businesses where brand, audience, intellectual property, talent and changing consumer preferences can play an outsized role in how buyers assess value.

Manufacturing & Distribution

Businesses where brand, audience, intellectual property, talent and changing consumer preferences can play an outsized role in how buyers assess value.

Financial & Insurance

Insurance, Fintech and selected financial services businesses, where dependable books of business, predictable growth, sales team tenure, market risk and loss rates are critical determinants of transaction value and structure.

Technology & IT Services

IT Services, SaaS, Enterprise Software and selected technology services businesses where recurring revenue, client retention, client churn, talent and founder dependence impact valuation.

WHY HDL

Experience gives us a head start. Preparation does the heavy lifting.

Being an expert in your industry isn’t the same as knowing your business. HDL starts by learning what makes yours different.

We invest heavily at the front end of every mandate to understand the business, its financials, customers, market position, risks and opportunities before approaching buyers.

That preparation helps us build a more credible story and gives buyers fewer opportunities to catch everyone scrambling later.

Don’t see your business on the list? The list shows where we’ve been busiest. Our deal experience goes far wider.

HDL has completed transactions across a much broader range of industries than these five categories.

We have deliberately focused the website on the sectors where we have the strongest combination of experience, current interest and relevant proof rather than creating dozens of pages simply to appear as specialists in everything.

Industries differ, but what drives a successful deal doesn't. Judgment, deal instinct, preparation and knowing when to push carry across every sector. If you've built a strong Canadian business and are considering a transaction, give us a call.

Experience is easy to claim. Transactions are the proof.

What changes from one industry to another

The questions buyers ask change. The critical importance of being prepared does not.

Understanding a specific sector helps HDL anticipate what buyers are likely to focus on before a company goes to market.

That could mean customer concentration and contracts in an Industrial Services business, churn and ARR in SaaS, exclusive rights in Distribution, founder dependence in Entertainment or loss rates for the Insurance industry.

Knowing where buyers are likely to dig means we can prepare the story, the analysis and the supporting information before those questions are even asked.

“We were very happy to work with HDL Capital to sell our company, particularly after being approached directly by buyers and wasting so much time and effort on unsuccessful outcomes. WE CAN HELP

Built a great Canadian business?

Whether or not your business fits neatly in one of these sectors, we’d like to hear your story. There’s a good chance we’ve worked on deals in your space before.

Experienced people. Direct involvement. Personal accountability.

Chemistry matters. And frankly, we just care more.

We’re entrepreneurs too. This is our shop.

HDL only works on a few mandates at a time. That's intentional. Your transaction doesn't disappear into a stack of files after the first meeting.

When you hire HDL, you're working directly with the people responsible for the advice, the negotiations and the outcome.

Deals get complicated. When they do, the people you started with at HDL don't step away. That's usually when we lean in harder.

A few things we won’t compromise on.

Preparation before promotion

By the time buyers start asking questions, we want the answers ready.

We invest heavily at the front end of a mandate understanding the business, working through the financials, developing the story, preparing detailed marketing materials and anticipating the questions buyers are going to ask.

No one should be scrambling to pull the story together while qualified buyers are waiting at the door.

Some grey hair included

Senior people remain directly involved throughout the mandate, and are there for the important conversations and the hard decisions.

We don’t believe the difficult part of a transaction is the right time to hand the file down. When things get tough, the whole team doubles down.

We prefer the laser over the shotgun

More names on a target buyer list doesn’t automatically create a better process.

HDL curates a carefully researched buyer universe internationally, approaches decision-makers directly and heavily qualifies interest before consuming your time. We’d rather have the right conversations with credible buyers than send your confidential company information to as many email addresses as we can find.

We’ll tell you what we really think

We would rather talk ourselves out of a new client engagement than win it by telling you an inflated valuation or making promises we don’t believe.

We’ll only give you our realistic view of value, structure, timing and buyer appetite. Then the market gets the final vote.

Tenacity matters

Anybody can look good when the deal is easy.

Transactions change. Buyers retrade. Financing gets complicated. Due diligence uncovers issues. Timelines move and negotiations get uncomfortable.

That's when experience matters most.

HDL's job isn't simply to start a process. It's to keep thinking, negotiating and pushing when the transaction stops going exactly according to plan.

Different businesses. Different buyers. Different questions.

HDL brings transaction experience across five broad sectors, while continuing to work with established Canadian businesses outside those categories where there is a strong fit.

Relevant experience gives us a head start. It doesn't replace the work of understanding what makes your particular business valuable.

Experience you can see in the transactions

Sometimes the most valuable thing we can give you is an independent answer.

Not every mandate is about buying or selling a business. Boards, shareholders and management teams sometimes need an experienced, independent financial perspective on a significant transaction.

That same willingness to give a direct answer, even when it isn't the easiest answer, carries through HDL's Fairness Opinion work.

WE CAN HELP

If the chemistry’s right, let’s talk.

You don’t need to have everything figured out before you call. A short conversation can help clarify what matters now, what can wait and what the next step could look like.

FAIRNESS OPINION ADVISORY

This is where true independence matters.

Don’t expect a boilerplate Fairness Opinion from HDL.

With an increasingly heavy focus on governance, independence and accountability, receiving external, unbiased support for significant transaction decisions matters more than ever.

HDL regularly provides independent Fairness Opinion advisory to private and public companies across Canada.

Don’t expect to see a simple DCF analysis or boilerplate short-form Fairness Opinion from HDL. We are business owners with high integrity, we are building a business and we simply care more about every client mandate.

INDEPENDENT JUDGMENT WHEN THE STAKES ARE HIGH

Different circumstances. The same need for an objective financial view.

Fairness Opinions are often sought when a Board, Management team or its advisors need independent financial analysis to support a significant transaction or restructuring decision, commonly taking the form of a Plan of Arrangement under the Canada Corporations Business Act (CBCA).

M&A transactions

In an acquisition, sale or other significant transaction, a Board may seek an independent Fairness Opinion to help support its consideration of the proposed transaction from a financial point of view.

Insolvency and restructuring

Fairness Opinions may also form part of complex insolvency or restructuring situations where a company, its Board and its advisors are assessing transaction alternatives that affect shareholders, lenders or other stakeholders. These transactions typically involve a Plan of Arrangement process before the Commercial Courts, where a Fairness Opinion is mandatory for approval.

Second or additional Fairness Opinions

Where the independence of another Fairness Opinion provider may be questioned, or additional independent financial judgment is appropriate, HDL can be the independent provider of a second or even a third Fairness Opinion.

Working alongside Boards, Management teams and transaction counsel

HDL works with both private and publicly listed companies, often on assignments where legal, financial and governance considerations are moving at the same time.

Transaction lawyers are an important source of Fairness Opinion engagements for HDL. In many cases, counsel identifies the need for independent financial advice and brings HDL into the assignment because the client needs an experienced advisor that can move quickly and remain independent.

WHY HDL

Thorough. Responsive. Independent.

Thorough

Fairness Opinion work should not be treated as a template exercise. Every transaction has its own facts, stakeholders and unique considerations, and the analysis should reflect the decision actually in front of the Board.

Responsive

Timing matters, particularly when a transaction is already moving. HDL can often clear conflicts and confirm whether we can accept an engagement within hours rather than days.

Independent

HDL will not accept compensation that depends on whether the underlying transaction closes. Our Fairness Opinion work is completed for a predetermined fixed fee, regardless of the outcome of the transaction.

Efficient

Our clients have told us that HDL’s Fairness Opinion work is competitively priced against much larger advisory firms while remaining detailed, responsive and senior-led.

Valuation theory matters. So does knowing how transactions actually get done.

HDL’s Fairness Opinion work is informed by more than financial models. Our team draws on more than 25 years of transaction experience and a very current understanding of capital markets, transaction structures and the considerations that influence real-world outcomes.

That market perspective is part of the value we bring to Boards and Management teams evaluating a significant decision.

Experience you can see in the transactions

Straight answers about independence, timing, scope and fees

Below we answer some of the most common questions we hear from Canadian companies and their advisors looking for help with Fairness Opinions.

If the Advisor providing the opinion also stands to benefit financially from the transaction closing, external stakeholders or the court may reasonably question how independent that opinion really is.

By receiving a Fairness Opinion from your existing Investment Banker or Consulting/Accounting firm, it can be difficult to ensure 100% objectivity.

If your Banker stands to make a Success Fee if the transaction they are advising you on closes, or if payment for their advisory work is contingent on that transaction going through, the value of that advisory may be questioned by external stakeholders or the Commercial Court.

In its decision in the 2009 HudBay proceedings, the Ontario Securities Commission noted that an adviser’s success-based compensation may adversely affect the ability of a board to rely on financial advice: “a fairness opinion prepared by a financial adviser who is being paid a signing fee or a success fee does not assist directors comprising a special committee of independent directors in demonstrating the due care they have taken in complying with their fiduciary duties in approving a transaction.”

The potential conflicts across these large advisory organizations have become increasingly difficult to manage due to their size and scope.

Even when it is not specifically required for approval of a transaction or a restructuring, an independent Fairness Opinion can be valuable when a Board or Management team expects a significant transaction to face shareholder or public scrutiny.

It really comes down to how well you like to sleep at night. Shareholder activism is now a primary business model for some investment firms, and when combined with the Internet, Boards of Directors and Management now have targets on their backs.

This is why working with a truly independent Advisor is as important as ever.

In some transactions, companies seek a second or even third Fairness Opinion where the independence of another provider may be questioned.

With a lack of independence by Fairness Opinion providers being called out by the Commercial Courts in a number of high-profile cases in recent years, there has been a push for companies to seek multiple Fairness Opinions.

This is particularly the case where an Investment Bank stands to earn fees on the success of the underlying transaction.

In 2016, the Yukon Court of Appeal overturned the approval of ExxonMobil’s acquisition of InterOil by plan of arrangement. The court held that the arrangement was not fair and reasonable, largely because of problems with the fairness opinion from InterOil’s investment banker, Morgan Stanley. The opinion stated a conclusion without showing the analysis behind it, and most of Morgan Stanley’s fee depended on the deal closing. The decision has been a key reason boards now seek truly independent fairness opinions in these transactions.

HDL is happy to follow in behind and provide a highly efficient and cost-effective “backup” second or third Fairness Opinion where needed.

The cost of that additional Fairness Opinion is not insignificant, but when compared with the cost of a failed transaction, it’s money very well invested.

HDL can typically clear conflicts and confirm whether we can accept an engagement within hours, which matters when a live transaction is already moving.

Our clients and their legal advisors have remarked that it can now take a large firm up to a week to complete simple conflict checks and clear the mandate internally, if it gets cleared. By that time HDL could have 75% of your project completed.

We advise on conflicts and clear an engagement in a few hours and can guarantee 100% independence.

HDL can move quickly. Depending on the assignment and how quickly information is provided, a Fairness Opinion can be completed in as little as 10–14 days.

We can typically produce a Fairness Opinion in as little as 10–14 days.

It really depends on how responsive your team is in providing information to us.

HDL keeps its core team deliberately lean while drawing on experienced accounting, valuation and transaction resources when required. Senior owners of the firm remain responsible for the execution and approval of all Fairness Opinions developed.

Our core team is lean and mean, with unmatched responsiveness and integrity. We have capabilities to produce the same quality product as a large Bank or Consulting/Accounting firm.

We have dedicated resources, including CPAs, CBVs etc., who have worked on Fairness Opinion projects of all types and sizes. All of our deliverables are overseen by senior team members, owners with upwards of 25 years of transaction experience.

No. HDL’s Fairness Opinion work is built around the specific transaction, supported by clearly presented analysis and informed by current transaction and capital-market experience.

In our mind there is no need to deliver an 80-page presentation with a picture and a single paragraph on each page to justify our fees.

We take the time to provide clear and concise observations and accompany those with valuable analysis and recommendations wherever possible. With each mandate we strive to inject common sense, fairness and thoughtfulness.

Our team draws on 25+ years of transaction experience and overlays a very current and relevant “lens” on what is happening in the capital markets to our Fairness Opinion mandates.

Clients have remarked that this extra “ear to the ground” has provided unexpected insights and value in their transaction decision-making process.

HDL works on a predetermined fixed fee and is typically competitively priced against much larger firms. We can usually provide an indication of cost and timing after a short introductory conversation.

Our clients have typically remarked that our Fairness Opinions are priced very competitively against our larger peers in the market, but delivered quicker and with greater insight and granularity.

We would be happy to have a quick intro conversation and provide you with an indication of cost and timing.

The Advisor preparing the Fairness Opinion should not make more money because the transaction closes. HDL’s fee is established in advance and does not depend on the outcome.

We won’t consider working on any basis where our fees are governed by the outcome of the underlying transaction, referred to as a “contingency fee” arrangement. That just doesn’t sit well with us, as it throws objectivity out the window.

We will only work on a predefined fixed-fee arrangement, with payment due at delivery of our Fairness Opinion, regardless of the outcome of the associated transaction.

A Fairness Opinion provides an independent conclusion on whether the financial terms of a proposed transaction are fair from a financial point of view. It does not determine whether the transaction is the best available deal or recommend how shareholders should vote.

A fairness opinion is a formal letter, usually from an investment bank or independent financial adviser, that tells a company’s board whether the price in a proposed deal is fair to shareholders from a financial point of view. It’s most common in mergers, acquisitions, plans of arrangement, insolvencies, restructurings, take-over bids and related-party deals.

What it is, and what it isn’t

  • It’s a judgment about a price range, based on methods like comparable companies, precedent transactions and discounted cash flow. It says the price is “fair.” It doesn’t say the price is the best one available.
  • It is not a formal valuation. A formal valuation gives a specific value or range and has stricter rules on disclosure and independence. In Canada, MI 61-101 requires a formal valuation in certain insider bids and related-party deals.
  • It doesn’t comment on the business case for the deal, its legal terms, or whether shareholders should vote in favour.

A Fairness Opinion is not legally required for every transaction, but it can provide important independent financial support for Boards and Special Committees making significant transaction decisions, particularly where there is heightened scrutiny or potential conflicts.

Canadian law usually doesn’t require a fairness opinion. In practice, though, one is expected for any significant deal, for these reasons:

  1. It supports the board’s duty of care. Directors have to make informed decisions in the company’s best interests (BCE, 2008). Advice from a qualified financial adviser shows they did their homework and helps protect their decision under the business judgment rule.
  2. It supports court approval. In a plan of arrangement, the court must find the deal “fair and reasonable.” Judges look closely at the fairness opinion. InterOil (2016) showed that an opinion with conflicts, or with no analysis behind it, can sink the approval.
  3. It helps shareholders vote. The opinion is summarized in the circular so shareholders can judge the price. That only works if the analysis is disclosed and the adviser is independent.
  4. It matters most when there are conflicts. In management buyouts, controlling-shareholder deals and other related-party deals, the special committee relies on an independent opinion to show minority shareholders were treated fairly.
  5. It reduces litigation risk. A solid, independent opinion makes it harder for dissenting shareholders to challenge the deal.

HDL typically needs the transaction terms, historical and forecast financial information, relevant business and operating information, market data and access to Management to understand the company, the proposed transaction and the assumptions supporting the analysis.

A fairness opinion draws on the deal terms, the company’s own financials and plans, market data, and conversations with management. The adviser usually reviews:

1. The transaction itself

  • The draft or final transaction agreement (arrangement agreement, merger agreement, support agreements)
  • What shareholders receive: cash, shares, contingent payments, earnouts, and any special terms
  • Deal protections such as break fees, no-shop clauses and matching rights
  • Information on how the deal came about, including other bidders, the sale process and any market check

2. Company financial information

  • Audited financial statements, usually for the last three to five years, plus recent interim results
  • Management’s internal forecasts and budgets, which are often the most important input
  • Quality of earnings or normalized EBITDA adjustments
  • Balance sheet items: debt, cash, working capital, leases, pensions and other debt-like items
  • Tax attributes such as loss carryforwards and tax pools

3. Business and operating information

  • Customer, supplier and contract details, including concentration and key contracts
  • Capital spending plans, asset condition and reserve or resource reports for resource companies
  • Management’s views on risks, opportunities and strategic alternatives
  • Material diligence findings, litigation and regulatory issues

4. Market and comparable data

  • Trading prices and volumes for the target’s shares (for public companies)
  • Trading multiples of comparable public companies
  • Multiples paid in comparable past transactions
  • Industry outlook, commodity prices, interest rates and cost of capital inputs

5. Specifics relating to the buyer, when shares are part of the price

  • The buyer’s financials, share trading history and outlook, since shareholders’ value depends on the buyer’s shares
  • Expected synergies, and whether any of that value is shared with target shareholders

6. Management interviews and representations

  • Discussions with senior management and the special committee
  • A representation letter from management confirming that the information is complete and accurate and that nothing material has changed

The Adviser generally relies on the information it’s given without auditing or independently verifying it, and the resulting opinion clearly states this. The opinion is only as good as management’s forecasts. That’s why, after InterOil, boards and courts expect the key assumptions and analysis to be disclosed in the opinions, not just the conclusion.

The Board of Directors or Special Committee that commissions the Fairness Opinion is typically the party formally relying on it. Shareholders, courts, regulators, exchanges and institutional investors may also review and use the opinion when assessing the transaction.

Parties formally entitled to rely on a Fairness Opinion:

  • The Board of Directors relies on a Fairness Opinion to show it made an informed decision, which supports its duty of care and the business judgment rule.
  • The Special Committee appointed by the Board uses it to show it protected minority shareholders when the deal involves conflicts.

Other parties that use Fairness Opinions (but not formally entitled to rely on them):

  • Shareholders read Fairness Opinions in the circular when deciding how to vote. The opinion states it is not a voting recommendation, which limits their ability to sue the adviser.
  • The court treats it as evidence when deciding whether a plan of arrangement is fair and reasonable, as in InterOil.
  • Regulators and exchanges like the TSX review how the opinions are disclosed, including the fee, the adviser’s independence and a summary of the analysis.
  • Proxy advisers and institutional investors use it in making voting recommendations and decisions.

WE CAN HELP

Need an independent Fairness Opinion on a live transaction?

Timing is often part of the challenge. Tell us what is happening, what decision needs to be supported and when the work needs to be completed. HDL can quickly determine whether we are able to accept the mandate, clear conflicts and provide an indication of timing and cost.

BUY-SIDE M&A ADVISORY SERVICES

It’s time to kick this thing up a notch.

Keep your eye on your business. Let us kick the tires and kiss the frogs.

At a certain point in a company’s life cycle, organic growth either slows or needs to be enhanced with acquisitions.

Acquisitions can accelerate growth, add capabilities, open new markets and change the trajectory of a company. They can also consume an enormous amount of management time and capital if you get them wrong.

It’s not a decision that should be entered into lightly, and there are countless stories of companies that have “bit off more than they can chew” by doing bad acquisitions.

While it’s never easy to make the right decision 100% of the time, it’s almost always possible to avoid the same mistakes that we have seen companies make over and over again for more than 25 years.

The HDL team has completed 200+ successful transactions, with an aggregate value of $2 Billion.

Don Gray CEO, Givex Corp.

Luc Stang President & CEO, Gincor Werx

BUYING A COMPANY IS MORE THAN FINDING A TARGET

Start with the strategy. Then go hunting.

The fastest way to waste time on acquisitions is to start calling companies before everyone agrees on what a good acquisition actually looks like.

HDL works with your team to define the acquisition strategy, build the target universe, research and approach companies, qualify opportunities and then help evaluate, negotiate and close the transactions worth pursuing.

A disciplined process from acquisition strategy through closing

Agree on the strategic rationale, sectors, geography, size, capabilities and financial profile that make a target worth pursuing.

Combine market research, existing relationships and new discovery to identify companies that fit the mandate, whether they are actively for sale or not.

Understand the business, ownership, strategic fit and the owner’s motivation/timeline for a sale before involving your management team.

Make thoughtful, direct approaches that open conversations without making the target feel like one name on a giant list.

Assess valuation, structure, risks and strategic fit while helping manage discussions and negotiate the terms of a potential transaction.

Work alongside your team and advisors through financing, due diligence, negotiations, closing and early integration planning.

Experience you can see in the transactions

Built for companies serious about growing through acquisition

HDL works with companies that have made acquisitions part of their growth strategy, whether they are pursuing their first transaction or building an ongoing acquisition program.

Some clients have experienced finance and corporate development teams, who can manage the process internally, but may also engage HDL to help to expand their search and enter new markets. While others need us to build and manage the process from the ground up. Either way, our role is to expand your reach, bring transaction experience to the table and keep your team focused on the opportunities worth pursuing.

Experience across the sectors we know best

Acquisition strategy, target availability and valuation can vary significantly by sector. HDL brings particular experience across five broad areas while sourcing opportunities across Canada and internationally.

WHY HDL

Your dedicated diamond miners

The best acquisition opportunities do not always come neatly packaged and marked “for sale.” HDL researches the market, finds the companies that fit and starts conversations with owners who may never have considered selling until we called.

What Canadian acquirers commonly ask

Straight answers to the questions we hear most

Below we answer some of the most common questions we hear from companies looking for a Buy-Side M&A Advisor. We hope they provide some useful information and help explain how HDL works, along with a little of our “secret sauce.”

The opportunities that find you are only one part of the market. Some of the best acquisitions we have sourced for clients were not for sale until we approached them.

There’s a reason why certain companies are approaching you, and others are not. We often compare it to hiring. Some great candidates are actively looking, but many of the best people are happily employed and only move when the right opportunity finds them. Acquisitions work the same way. In our experience, many strong, well-run companies have never considered selling until we reach out with a compelling reason to.

That’s why we help our clients build a larger, proactive funnel. It lets you pursue the companies that best fit your strategy, rather than choosing only from what happens to be available. It also gives you more leverage in negotiations, a better chance of closing deals without a crowded auction, and a wide field of opportunities to compare side by side.

When that happens, the gems really stand out, as do the dogs.

At HDL, we work as your dedicated diamond miners.

Yes. In fact, some of the best acquisition opportunities we have sourced were companies that were not actively for sale when we first approached them.

Absolutely. Approaching “off-market” companies is one of the most valuable things we do. Many owners of strong, well-run businesses have never put their company on the market, but that doesn’t mean they wouldn’t consider the right conversation with the right buyer.

We start by identifying companies that fit your strategy, then reach out directly to the owner. Our approach is respectful and low-pressure. We aren’t asking them to sell. We’re opening a conversation about their plans and whether a partnership could make sense. Owners take the call for many reasons: succession planning, a desire to grow faster with more resources, a wish to take some chips off the table, or simply curiosity about what their business is worth.

We typically keep our buy side client’s identity confidential in these early conversations and only introduce you once the owner has shown genuine interest.

Because these companies aren’t being shopped to other buyers, you often have the chance to build a relationship with the owner, avoid a competitive auction, and negotiate on more favourable terms.

An external M&A Advisor gives you anonymity, transaction experience, additional market reach and a dedicated team that can keep the acquisition program moving without distracting your internal people.

The first reason is that many companies view calls from competitors as nothing short of corporate espionage, someone just fishing for their private information, who may steal their clients or employees.

Even if they do respond, they typically end up sharing far more sensitive and valuable information with your M&A Advisor than they would with your team.

Secondly, your team already has limited bandwidth to run the business. A proper acquisition program takes sustained effort over many months or more, and internal resources often get pulled back into their day jobs, which stalls outreach and follow-up.

Lastly, when engaging an experienced M&A Advisor, you get an entire team working on your project, with a wide range of toolkits, frames of reference, spheres of contacts and unique “tricks of the trade.” Beyond their own outreach, M&A Advisors have long-standing relationships with hundreds of other M&A advisors, lawyers and accountants who provide leads from their own networks.

That said, if you already have an internal team in place, we’re always happy to collaborate and build an even stronger team, all rowing in the same direction.

Finding companies is only the beginning. The real value comes from determining which ones actually fit the acquisition strategy and are worth your management team’s time.

Building a large funnel is important, but your management team’s time is limited, so our job is to make sure the opportunities that reach you are worth it. Before any target moves forward, we work with you to define what a good acquisition looks like for your business, and then we assess each company against those criteria.

We typically look at strategic fit first: whether the company’s products, services, capabilities and customer base complement yours. From there, we consider size and financial profile, including revenue and EBITDA, along with geography, the strength of the management team and how dependent the business is on its owner. Just as important is the human side: the owner’s goals, their likely valuation expectations and how realistic it is that they would transact.

We’re also quick to flag the warning signs that a company isn’t worth pursuing, such as heavy customer concentration, an owner with unrealistic price expectations, declining revenue, or a business that couldn’t operate without its founder.

The result is a focused list of targets that genuinely fit your strategy, so your team spends its time on the gems rather than the dogs.

Expect a few weeks at the front end to align on the acquisition strategy. Once a qualified target is engaged, we typically see a closing process ranging from approximately 90–180 days.

There is typically a “getting to know each other” phase at the front end of our engagements, which is critical to ensuring our efforts are 100% aligned with your goals and growth objectives.

We get to know what you like, and what you don’t like, and cater our market approach accordingly. During this few-week period we analyze your financials and operations, and usually provide some good insights along the way that shape the acquisition strategy.

Once we are up and running, we typically uncover fresh targets right out of the chute, but we prefer to do some preliminary qualification and due diligence before arranging any calls or meetings. This keeps your team from getting bogged down on Zoom calls.

We focus on quality, not quantity.

Once a qualified target comes up, we typically see a closing process ranging anywhere from 90–180 days on average.

You will know who has been approached, who has responded and where conversations stand. We provide detailed progress reporting, typically weekly or bi-weekly.

We have invested in and implemented an advanced cloud-based CRM system with which we track all of our outreach to and interactions with targets on your behalf.

We generate regular, highly detailed reports on our activities and progress, typically weekly or bi-weekly.

Yes. HDL has sourced acquisitions from Canada to China and everywhere in between, supported by an international network of M&A Advisors and transaction professionals.

We have sourced acquisitions from Canada to China and everywhere in between.

If you need to shore up your business in another market, we are primed and ready to hunt for you anywhere.

We have partnerships with M&A Advisors on every continent who can augment our search and offer clients for sale in their direct networks.

HDL’s role does not stop when a target says yes. We stay involved through valuation, structure, negotiation, diligence, financing and closing.

HDL is very involved. Getting a target to the table is a big milestone, but it’s also the point where many deals start falling off the rails. We act as the glue that holds the process together through closing.

Once a serious target is engaged, we help you determine what the business is really worth and how to structure an offer that works for both sides, whether that includes cash at close, an earnout, vendor financing and/or the owner rolling over some equity. We then help prepare the letter of intent and work through purchase-price and structure discussions.

Your management team stays in the driver’s seat on the decisions that matter most: whether the business is the right fit, how it will be integrated and final approval of the terms. We keep everything else moving.

We have extensive experience bringing in lawyers, accountants, lenders and other professionals when they’re needed, and just as importantly, at the right time. Bringing advisors in too early or letting them run without direction is one of the most common ways deal costs build up. We keep every party on track, on schedule and honest, which prevents unnecessary delays and saves you money along the way.

When issues come up in diligence or negotiations, we address them quickly and keep the deal moving toward a successful closing.

We can help optimize the capital structure and work with your lenders, equity investors and other financial partners to help get the financing in place when required.

We will analyze and help you optimize your capital structure for the short, medium and long term, and liaise with your bank lenders, equity investors or other backers as needed to help get the financing in place, if applicable.

We have had instances where a client was unable to finance an acquisition with their existing bank, but after HDL did a proper, comprehensive “work-up” and presentation of the acquisition opportunity, the same bank provided full financing, and more.

HDL works on a combination of a monthly Work Fee and a Success Fee paid when a transaction closes, keeping us focused on both building the acquisition pipeline and getting good deals completed.

We work based on a balanced blend of an ongoing monthly Work Fee combined with Success Fees, a percentage of the value of the target purchased, paid on closing of successful transactions.

This keeps us driving to build a deep, well-qualified funnel of acquisitions, and also ensures we remain highly motivated to get deals closed efficiently.

Our clients have remarked that our experience and expertise has kept them out of trouble and helped them avoid costly mistakes, which the HDL team has seen time and time again.

In a nutshell, the extra investment in engaging HDL in the short to medium term should save you a TON in the long run.

Integration planning should start during due diligence, not the day after closing. We work with your functional teams and external advisors so everyone understands what needs to happen before the deal is done.

We can’t do everything, but we can certainly work with your HR, Operations, Finance, Sales and Marketing teams to plan for integration of your acquisitions.

We like to use the due diligence process to touch on all of these key functional areas so that when the closing date arrives, your team is not scrambling.

We surround you, if needed, with equally minded and efficient lawyers, accountants etc. to make sure your support team matches your company’s stage of growth.

WE CAN HELP

Looking to grow through acquisition?

You do not need to have a target already identified to start the conversation. Tell us what you are trying to accomplish and we can help you define what the right acquisition looks like, understand the market and start building the pipeline.

M&A Advisory Services

Different mandates call for different expertise.

The expectation should be the same: experienced people, direct advice and a team that stays close to the work (the whole way through).

HDL measures success by outcomes, not transaction volume.

We take on a limited number of mandates at one time, do the homework up front, and stay closely involved from the first conversation through every decision that follows, including the difficult ones. If we think something doesn't make sense, we'll tell you. If things get complicated, we dig in.

Sell-Side M&A

Get in, get out, don’t drag it out.

Selling your company means preparing the business properly, understanding what it’s worth, finding and qualifying the right buyers, negotiating the best available transaction and getting it all the way through diligence and closing.

HDL manages the process so you can keep running the business while we focus on getting the transaction done.

 Buy-Side M&A

Start with the strategy. Then go hunting.

The best acquisition may not already be for sale.

HDL helps you define what the right acquisition looks like, builds the target universe, approaches owners directly, heavily qualifies opportunities and leads the valuation, negotiation, diligence and closing process.

Fairness Opinions

This is where true independence matters.

When a Board or Management team needs an independent financial perspective on a significant transaction, the analysis needs to stand on its own.

HDL provides responsive, senior-led Fairness Opinion work grounded in financial analysis, transaction experience and independent judgment.

How HDL works

Every mandate gets the same level of analysis, preparation and full team commitment.

Whether we're selling a company, helping a client pursue an acquisition or providing an independent Fairness Opinion, we start by understanding the situation properly and getting the important questions on the table early.

That means doing the preparation up front, keeping experienced people close to the work and giving clients a direct view of what we really think. We'd rather have a difficult conversation early than tell someone what they want to hear and deal with the consequences later.

And once the work is underway, the entire team stays closely involved until it's finished.

WHY HDL

This isn’t a volume
business for us.

Every mandate gets senior attention, serious preparation and people who stay close to the work the whole way through.

On a Sell-Side process, that means doing the work before buyers arrive. On Buy-Side, it means finding and qualifying opportunities before they consume your management team’s time. On a Fairness Opinion, it means independent analysis that reflects the actual transaction and situation in front of the Board.

Different work. Same standard.

“ Far more goes into preparing a business for market than we ever imagined. HDL managed the entire process end to end, letting us stay focused on running the brokerage.

Wesley Harmiden President & Owner, United Link Insurance Brokers Ltd.

“We brought HDL Capital in after reaching the LOI stage with a range of buyers. HDL immediately took control of negotiations, introduced experienced counsel and worked to ensure our interests were protected while structuring the deal on the most favourable terms. We were very pleased to work with HDL Capital. Their guidance allowed us to move forward with confidence into the next chapter of the business and close the transaction within 90 days of signing the LOI.”

Justin John & Eric Velez-Chua Co-Founders, The Woods Cannabis

Experience is easy to claim. Transactions are the proof.

Different businesses bring different questions to the table.

Buyer priorities, valuation drivers and transaction dynamics change from one industry to another. HDL brings deep experience across five key sectors, while continuing to work with established Canadian businesses outside those categories where there is a strong fit.
